Admitted Attorney or Advocate in South Africa is essential
At least 4-6 years post qualification experience in commercial law is essential
Experience in the mining industry is desirable
Experience at dealing with government departments such as DMR, DEAT, DWAF and local authorities is desirable
Extensive Mining law experience is essential
Administrative experience in legislative compliance, asset and contract management as well as general administrative functions, preferably within a legal department is essential
Knowledge of BEE legislation and regulations is essential

Duties Include:
Duties & Responsibilities
Provide legal opinions, draft and review contracts, agreements, and framework arrangements to safeguard the company’s interests.
Negotiate and document terms and conditions to minimise risk, liability, and reputational exposure.
Advise on corporate governance, Companies Act, compliance frameworks, and regulatory requirements.
Conduct due diligence on contractual agreements, suppliers, and potential fronting risks.
Support the business with legal input on HR, IR, training, IT, environmental, safety, property medical matters etc.Draft and review commercial agreements
Develop, standardise, and implement contract management frameworks, policies, and procedures.
Review tenders, procurement strategies, modifications/amendments, breaches, and termination notices.
Collaborate with Supply Chain and operations to align commercial agreements with company objectives.
Liaise with external legal resources and regulators as required.
Mediate contractual disputes, propose remedial solutions, and manage litigation risk.
Monitor changes in legislation (e.g., Companies Act, MPRDA, B-BBEE, Mine Health & Safety, Environmental, POPIA, FAIS, FICA, PAJA) and advise management accordingly
Identify, assess, and mitigate commercial, legal, and compliance risks across the business.
Ensure adherence to corporate governance standards, codes of conduct, and compliance requirements.
Provide oversight and reporting on supplier diversity, BEE compliance, and enterprise development initiatives.
Assist with policy development, approval frameworks, resolutions, and ethical standards.
Support transformation, process optimisation, and change management initiatives to drive business improvement.
In depth knowledge of Mining Charter, B-B BEE Act and codes of good practice
Conflict Management and negotiation skills
Strong Emotional Intelligence
Demonstrable commercial legal background
Knowledge of Precious Metals Act
Knowledge of Informal Land Rights Act
knowledge of the Mineral and Petroleum Resources Development Act (MPRDA)
Knowledge of Mine - and Occupational Health and Safety legislation
Knowledge of general commercial laws including but not limited to Companies Act, POPI, insolvency law
